Meta tags or any other "hidden text" utilizing “Udyog" or any other name, trademark or product or service name of Udyog may not be used without prior written permission. All other trademarks, registered trademarks, product names and Udyog names or logos mentioned in our Site are the property of their respective owners.

The Educational curriculums, instructional or educational materials, audio’s, video’s, graphics, pictures, forms, texts and any other materials or course materials, promotional materials etc. (“Materials”) showed or displayed, allowed access to or provided in terms of the programs of ABEA and Mpower by Udyog are solely owned by Udyog’s Licensor Aditya Birla Education Trust and the materials can be used only in terms of the rights granted as per program delivery terms agreed with the Customer and not to be used for any other purpose. You shall not reproduce, modify, distribute, display any portion, publish any content or make any commercial use of the materials or any of the information provided under the programs unless duly authorised by Udyog or its Licensors.

While the customer will remain obligated to the following:

You have to provide true, accurate, current and complete information about yourself as prompted by the Udyog registration form.

To maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, incomplete, or not current or if Udyog has reasonable grounds to suspect that such information is untrue, inaccurate, and not current or not in accordance with this User Agreement, we have the right to indefinitely suspend or terminate your membership and refuse to provide you with access to the Website.

You will provide authentic and true information in all instances where such information is requested of you. Udyog reserves the right to confirm and validate the information and other details provided by you at any point of time. If upon confirmation your details are found not to be true (wholly or partly), Udyog has the right in its sole discretion to reject the registration and debar you from using the Services of this website and or other affiliated websites without prior notice whatsoever.

EDUCATIONAL AND MENTAL HEALTH PROGRAMS AT UDYOG

Udyog Upskill Limited is licensed by Aditya Birla Education Trust to deliver online and / or offline Various educational and developmental programs to schools, teachers, students and their parents developed by its initiative Aditya Birla Education Academy (“ABEA”) and Mental Health Programs developed by its initiative in the area of mental health namely Mpower. The respective programs are also referred to in this Terms of Use as “ABEA Programs” or “Mpower Programs”.

These programs are available either on subscription or against advance fees and as per terms and conditions mutually agreed with the customer and such agreed terms and conditions, in case of any contradiction with these terms of use and not capable of being harmoniously construed, shall override these Terms of Use.

ABEA Programs

ABEA programs are available for Educational Institutions as well as educators on payment of advance applicable fees. For more details on the ABEA programs kindly visit https://abea.in/ or get in touch with either ABEA or Udyog.

Mpower Programs

Mpower programs are organisation based programs available only to corporates, organistations, institutions, schools as per suitability of the programs to the concerned organisations. Mpower Programs of Mental Health awareness webinars is conducted in sessions of __ hr. duration and for maximum of __ participants per webinar or as mutually agreed with the customer. Mpower mental health champion certificate training program and Mental health literacy program will be conducted in sessions mutually agreed with the Customer (“Sessions”).

These Programs of Mental Health awareness webinars, Mpower mental health champion certificate training program and Mental health literacy program are for delivery only by online mode through third party online channels or platforms as per dates, timings, topics and participations as mutually agreed with the Customer. All arrangements for the Sessions including but not limited to arrangement of Venues, participation of participants, facilitating their presence in the webinar, internet connections, hardware, software and related paraphernalia required for participation in the program and permissions, if any, required for conduct of the webinar, shall be in sole responsibility of the customer. Udyog’s responsibility shall be only to make available a psychologist / Counsellor to deliver the lecture on the applicable topics and address queries of the Participants attending the Session(s).

The third party online platform shall be used by the customer as per the terms and conditions and privacy policy as applicable to such platform and subject to any risk and consequences arising out of the same and without any responsibility or liability to Udyog or its Licensors in this regard.

The Session dates, as predefined shall not be rescheduled without valid reason. Changes to schedule will not be entertained 7 days or less leading to the predefined date. If either Party has a valid reason for cancelling the Webinar, a second mutually acceptable date will be agreed by and between the Parties. If no such date can be agreed between the Parties, Udyog shall be eligible not to conduct the said Session. The information provided by the therapist, Psychologist or counsellor during the Session(s) shall be only for informational purposes and the participants may act on the basis of the said information absolutely in their own responsibility, after due verification at their end. Udyog and Mpower disclaims any and all liabilities on account of any use of such information by the Participants or any third party or for any matter arising out of or connected with the conduct of the Sessions.

The Minds matter program is a subscription based program granting a temporary, non-exclusive and non-transferable right to access and view, download and print the Minds Matter Curriculum (“Curriculum”) or any part thereof, to the extent allowed at a platform only for the Purpose of conducting educational program on mental health at Schools. Subscription are available to Schools on annual basis depending upon the Academic calendar of the School subject to payment of subscription fee in advance and as per the detailed terms and conditions as agreed with the Customer. The Customer is not eligible to Sub-contract, assign, rent, lease or transfer the access or other rights in relation to the Curriculum (b) translate or adapt the Curriculum or Create any derivative works based upon the Curriculum; without Udyog’s prior written consent.

Mpower and ABEA programs are provided on AS IS basis without any representations or warranties of any kind or nature. Other than as expressly represented or warranted herein, Udyog and its Licensors Aditya Birla Education Trust expressly disclaim all representations or warranties of any kind, whether express or implied or statutory, including but not limited to the implied warranties of merchantability or fitness for a particular purpose of the Programs.

Udyog expressly disclaims that the Programs are based upon any school / board curriculum, or guarantees a particular level of learning, skills, development or any particular results or improvements. The educational programs of ABEA are merely aimed to develop educators and mental health programs of Mpower are merely aimed to increase awareness on mental health and provide assistance on mental health related topics and subjects without any guaranty or warranty for any kind of results.

Delivery of the programs and services may be affected due to force majeure reasons viz. occurrence of any unforeseen circumstance including any acts of God, fire, floods, acts of public authorities, delays or default caused by common carriers, serious illness of any therapist or psychologist or counsellor who intends to conduct a Session, natural disasters, war, civil unrest, unavailability of internet services or electricity, strikes and other forms of industrial action or any other events outside the control of Udyog and Udyog expressly disclaims any responsibilities or liabilities for delivery of the programs or services affected due to any force majeure reasons. Udyog reserves the right to cancel any scheduled program or sessions due to force majeure reasons.

Payment

While availing any of the payment method/s available on the platform, we will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to you due to:

Udyog through its payment gateway service provider facilitates payments in currencies as available in its payment gateway facility subject to the applicable rate of exchange for convertibility to the rate of Services agreed in Indian Rupees as on the date of Payment. No fees shall be adjusted or revised on account of any change in the exchange rates..

REFUNDS

Fees received for subscription or delivery of the programmes are non-refundable except on inability, solely on the part of Udyog to provide services or conduct the programs or continue the subscriptions obtained for the agreed period. Udyog reserves the right to adjust or set off the amounts against any other services or programs or defer the schedule of the programs in case of its temporary inability to conduct the programs or continue the subscriptions.

TERMINATION

We, in our sole discretion, may terminate or suspend your access to all or any part of this website including, but not limited to, any bulletin boards on this site, for any reason, including without limitation, breach of this agreement. If this agreement is terminated, the restrictions regarding materials appearing on this website and the representations and warranties, indemnities and limitations of liability set forth in this Agreement shall survive any such termination.

GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the Laws of Republic of India. Any action related to matters on this website shall be brought in the appropriate Courts of Mumbai, India.
